What is a kapitalejerlån (shareholder loan)?
In short
A kapitalejerlån is a loan from a company to its owner or management. Illegal shareholder loans are taxed as salary or dividends — even if the money is paid back.
In practice
The loan often happens by accident: private purchases on the company card, or a withdrawal without payroll reporting. When it does, the amount is taxed and the company must still be repaid — effectively a double bill. Legal shareholder loans exist but require free reserves and a general meeting resolution, among other things.
